TERMS AND CONDITIONS OF USE AGREEMENT

REGULATORY AND LEGAL CONTEXT | LAST REVISED: JUNE 2026

This document establishes the contractual terms and general conditions of use reciprocally submitted by the digital services provider C&D Web Studios and any natural or legal person (hereinafter referred to as "User" or "Client") who accesses, browses, or awards projects through this platform.

Article 1 - Object and Scope of Application

1. C&D Web Studios provides through this digital channel detailed information about its organizational structure, proprietary development methodologies, technical specialties, project consulting, and commercial portfolio history.

2. Browsing the website, as well as submitting data in the contact forms, implies the full, binding, and unconditional acceptance of all clauses stipulated in this legal instrument.

Article 2 - Intellectual and Industrial Property Rights

1. The entire logical and visual architecture of the base platform — including, but not limited to: corporate logos, textual creations, databases, source code, scripts, and stylesheets (CSS) — is the exclusive intellectual property of C&D Web Studios.

2. Structural cloning, reverse engineering, or unauthorized commercial exploitation of any element of this ecosystem is expressly prohibited, under penalty of civil and criminal liability.

Article 3 - Access Conditions and Technological Security

1. The User undertakes to adopt an ethical and legal conduct. Injecting malicious code (malware, SQL Injection), compromising server stability, or using our channels to send mass communications (Spamming) is strictly prohibited.

Article 4 - Exclusion of Liability and Proposals

1. All financial estimates provided through initial contact on the platform are strictly informative. Only a formal quote signed by both parties constitutes a contractual binding.

Article 5 - Transfer of Ownership and Source Code

1. The development of digital platforms, websites, or web applications by C&D Web Studios is subject to retention of title.

2. The Client acquires the rights of use and full ownership of the source code, final design, and infrastructure of their project solely and exclusively after the full settlement (100%) of the awarded amount. In the event of financial default, C&D Web Studios reserves the right to suspend or withhold access to the Client's platform.

Article 6 - Project Awarding, Payments, and Cancellations

1. The start of any development project requires the formal approval of the quote and the payment of an initial installment (Down Payment) corresponding to 50% of the total project value stipulated in the commercial proposal.

2. The remaining 50% of the project value must be fully settled upon its technical completion, serving as a strict condition for the transfer of ownership and the official online launch of the website (Go-Live).

3. In the event of unilateral withdrawal or project abandonment by the Client after the initial payment and commencement of work, the down payment (50%) will not be refunded, serving to cover the costs of consulting, structural design, and programming hours already executed by the C&D Web Studios team.

Article 7 - Technical Warranty (30 Days) and Maintenance

1. After the delivery and official online launch of the project, C&D Web Studios provides a free technical warranty period of 30 (thirty) business days.

2. This warranty is strictly for the identification, troubleshooting, and correction of any technical anomalies, code errors (bugs), or structural failures originating exclusively from the work developed by the agency.

3. The aforementioned technical warranty does not cover nor include: aesthetic changes to the approved design, rewriting of texts or image replacements, addition of new pages/features, or damages caused by improper handling of the system by the client. Any additions to the original scope require the contracting of a maintenance plan or a specific new quote.

Article 8 - Governing Law and Jurisdiction

1. To resolve any dispute arising from the interpretation or execution of this contract, the parties expressly elect the jurisdiction of the Courts of the District of Porto, expressly waiving any other.
